We are currently seeking Capital Markets Lawyers to work with Axiom clients across financial institutions, investment banks and other organisations. Responsibilities: <ul> <li>Provide practical, commercially focused legal advice on a range of capital markets matters, including debt, equity and equity-linked transactions, securities offerings, financings and listed-company matters.</li> <li>Draft, review and negotiate capital-markets documentation, including offering documents, prospectuses, underwriting agreements, purchase agreements, engagement letters, disclosure materials and related transaction documents.</li> <li>Support transactions throughout their lifecycle, including structuring, due diligence, disclosure, documentation, execution, closing and post-transaction requirements.</li> <li>Work closely with legal teams, bankers, issuers, finance, compliance, business stakeholders and external counsel to manage risk and deliver transactions efficiently.</li> </ul> Minimum Qualifications: <ul> <li>Qualified lawyer eligible to practise in the UK, or an equivalent overseas qualification with relevant UK capital-markets experience, and right to work in the UK.</li> <li>Experience advising on one or more capital markets areas, including debt capital markets, equity capital markets, equity-linked products, securities offerings, listed-company matters or corporate finance.</li> <li>Experience gained in private practice, in-house, on secondment or within an investment bank, financial institution, broker-dealer, issuer or other relevant financial-services environment.</li> <li>Strong commercial awareness, drafting, negotiation, stakeholder-management and communication skills, with the ability to provide clear, pragmatic and business-focused advice in a fast-paced transactional environment.</li> </ul> Compensation, Benefits & Location: This role offers a highly competitive compensation and benefits package in the alternative legal services marketplace, that includes health benefits, pension and more.
