<h3><strong>Join Our Team as an Attorney at Axiom</strong></h3> <h3><strong>Location: Toronto </strong></h3> <p>We are seeking a <strong data-start="85" data-end="117">Equity Capital Markets Counsel</strong> to join our Corporate and Securities team in Canada. The ideal candidate will bring strong experience executing transactions under the <strong data-start="642" data-end="668">Securities Act of 1933</strong>, including <strong data-start="680" data-end="751">high-yield bonds, Rule 144A offerings, Eurobonds, and EMTN programs</strong>, along with robust transactional and regulatory capabilities across the equity capital markets lifecycle.</p> <h3><strong>Responsibilities:</strong></h3> <p></p> <ul> <li>Provide legal and regulatory support on IPOs and equity capital markets transactions led by the bank.</li> <li>Advise internal deal teams on structuring, documentation, and compliance with securities laws and stock exchange requirements.</li> <li>Draft, review, and negotiate prospectuses, underwriting agreements, and transaction-related documentation.</li> <li>Collaborate with internal teams, clients, and external parties to ensure smooth execution of transactions and compliance with legal and regulatory requirements.</li> </ul> <h3><strong>Qualifications:</strong></h3> <ul> <li><strong data-start="925" data-end="937">5+ years</strong> of experience in <strong data-start="955" data-end="1035">equity capital markets, securities law, or related corporate finance practices</strong>.</li> <li>Strong knowledge of <strong data-start="1062" data-end="1152">SEC regulations, bond offerings, covenant structures, and credit rating considerations</strong>.</li> <li>Minimum of 3 years PQE as a Equity Capital Markets (IPO), preferably with a reputable law firm or financial institution.</li> <li>In-depth knowledge of IPO processes, equity offerings, and capital markets transactions.</li> <li>Familiarity with Canadian listing rules and relevant laws and regulations </li> <li>Excellent communication and interpersonal skills to effectively collaborate with clients and internal teams</li> </ul> <h3><strong>Compensation:</strong></h3> <p>The estimated total compensation for full-time Axiom attorney roles is $104,500-325,000 per year and for non-attorney roles is $71,250-309,750 per year.<strong> </strong>Compensation decisions are based on various factors, including, but not limited to, experience, skills, certifications, location, and business needs.
