<h3><strong>Join Our Team as an Attorney at Axiom</strong></h3> <p class="isSelectedEnd">We are seeking a <strong>Structured & Project Finance / Private Funds Counsel</strong> to support financial-services clients with <strong>private and registered investment fund formation, structuring, governance, and regulatory compliance</strong>. This role is ideal for an attorney with strong experience advising investment managers and fund sponsors throughout the fund lifecycle.</p> <p>The ideal candidate will bring practical experience with <strong>fund formation and offering documentation, LP and GP structures, investment management agreements, SEC registration, and fund compliance reviews</strong>. Experience with the <strong>Alternative Investment Fund Managers Directive (AIFMD)</strong> and <strong>Undertakings for Collective Investment in Transferable Securities (UCITS)</strong> frameworks is highly valued.</p> <h3><strong>Responsibilities:</strong></h3> <ul> <li>Advising clients on the <strong>formation, structuring, operation, and regulation of private and registered investment funds</strong>.</li> <li>Drafting, reviewing, and negotiating <strong>private placement memoranda, limited partnership agreements, subscription documents, offering materials, side letters, and investment management agreements</strong>.</li> <li>Counseling fund sponsors and investment managers on <strong>LP and GP structures</strong>, fund governance, investor rights, and operational considerations.</li> <li>Advising on <strong>SEC registration, reporting, and compliance obligations</strong>, including matters related to investment advisers and private funds.</li> <li>Supporting fund compliance reviews, audits, regulatory examinations, and remediation initiatives.</li> <li>Advising on <strong>AIFMD, UCITS, and other applicable international fund-regulatory requirements</strong>.</li> <li>Partnering with investment, legal, compliance, operations, and external counsel stakeholders to provide practical, business-oriented advice.</li> </ul> <h3><strong>Qualifications:</strong></h3> <ul> <li><strong>5+ years</strong> of experience in <strong>private funds, registered funds, investment management, asset management, or related financial-services practices</strong>.</li> <li>Demonstrated experience supporting <strong>investment fund formation, offering documentation, and fund governance matters</strong>.</li> <li>Strong knowledge of <strong>SEC registration and regulatory compliance</strong> applicable to investment funds and investment managers.</li> <li>Experience advising on <strong>LP and GP structures</strong>, investment management agreements, and fund-related corporate governance.</li> <li>Excellent drafting, negotiation, communication, technology, and problem-solving skills.</li> <li><strong>Juris Doctor (JD)</strong> degree and active bar admission in an applicable U.S. jurisdiction.</li> </ul> <h3><strong>Compensation:</strong></h3> <p>The estimated total compensation for full-time Axiom attorney roles is $104,500-325,000 per year and for non-attorney roles is $71,250-309,750 per year.<strong> </strong>Compensation decisions are based on various factors, including, but not limited to, experience, skills, certifications, location, and business needs.
